You must not use any alias, pseudonym, or other way to mask your identity or business details.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">The Company will rely upon the information provided in your Application, and any false information will be a basis to reject your Application or to terminate your status as an Affiliate without compensation if discovered after you are approved.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Upon acceptance into the Affiliate Program, Company will contact you notifying you of your acceptance. The contact l will include your Affiliate credentials as well as details about how to obtain your links to share, as well as other important information.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"commissions\">Commissions\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">The Company will pay Affiliate a fee (a “Commission”), for each customer acquired as a result of a customer being referred to the Company using the unique tracking links assigned to the Affiliate (“Affiliate Links”). The tracking and attribution of sales to Affiliates based upon their tracking links is done automatically by the Company’s marketing automation system. Accordingly, Affiliate shall not be entitled to any Commission on a sale that is refunded, for which there is a chargeback, or for which the Company ultimately does not receive the sales proceeds as a result of credit card abuse or fraud.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">The Company shall pay Commissions before the 10th of the following month. For example, commission earned in March will be paid before the 10th day of April. Commissions will only be made for customers that were not known to the Company prior to the promotion.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"taxes\">Payment Gateway and Taxes\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">It is Affiliate’s sole responsibility to provide the required information with his payment method where he is willing to receive the commission in a timely manner. No payments shall be made to Affiliate until such information is provided.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Affiliate shall be responsible for providing their necessary business information and banking details to facilitate the use of the payment method.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"warranties\">Representations and Warranties\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">The Company represents and warrants:\u003C/p>\n\n\u003Cul>\n\t\u003Cli>Products/services offered in conjunction with the Affiliate program are legal within the Company’s jurisdiction;\u003C/li>\n\t\u003Cli>It intends to be bound by the mutual promises, terms and conditions of this Agreement;\u003C/li>\n\t\u003Cli>That it shall not intentionally or knowingly violate any law, regulation, or rule applicable to its business operations.\u003C/li>\n\t\u003Cli>That it has the necessary intellectual property and other rights to offer the products that are available for promotion under the Affiliate Program.\u003C/li>\n\u003C/ul>\n\n\u003Cp class=\"affiliate-p\">Affiliate represents and warrants:\u003C/p>\n\n\u003Cul>\n\t\u003Cli>That Affiliate has read this Agreement, understands its terms and conditions, and agrees to be bound by this Agreement;\u003C/li>\n\t\u003Cli>That this Agreement constitutes Affiliate’s valid and binding agreement and was executed by a person with authority to bind the Affiliate;\u003C/li>\n\t\u003Cli>That Affiliate’s answers to the questions in the Application were truthful and accurate to the best of Affiliate’s knowledge;\u003C/li>\n\t\u003Cli>That Affiliate will comply with email marketing requirements including but not limited to CAN-SPAM, GDPR, and CA-SL.\u003C/li>\n\t\u003Cli>That Affiliate will not make use of the Company’s name, trademark, or service mark in any manner other than expressly allowed under the Affiliate Program;\u003C/li>\n\t\u003Cli>That Affiliate will not engage in any behaviour that violates the terms of this Agreement or that constitutes an attempt to fraudulently or deceptively increase the earnings of Affiliate under this Affiliate Program.\u003C/li>\n\u003C/ul>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"intellectual-property\">Promotional Materials, Limited License, and Intellectual Property\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">From time to time, the Company may make materials available to Affiliate for use in promoting the Company’s products (“Promotional Material”). The Promotional Material may include the Company’s logos, images of products that are part of the Affiliate Program, , button links, text links, and other graphic and textual material for use in Affiliate’s promotion efforts.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Upon acceptance into the Affiliate Program, the Company grants Affiliate a revocable, non-exclusive, worldwide, royalty-free license to use the Promotional Material during the term of this Agreement. The Affiliate may use the Promotional Material on its website, in emails, and in other promotional activities.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Affiliate may use any such Promotional Material solely for the purpose of promoting the Company’s products and/or for linking to the Company’s website. Affiliate may not make any other use of the Promotional Material and shall not state or imply that the Company has endorsed the Affiliate.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Affiliate agrees not to alter, add to, subtract from, or otherwise modify any of the Promotional Material provided by the Company without the express written consent of the Company. Moreover, Affiliate may not make any derivative works using the Promotional Materials.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"confidentiality\">Confidentiality\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Affiliate shall not, directly or indirectly, use for his or her own benefit (other than to fulfill his or her obligations hereunder) or disclose to any third party any Confidential Information (as defined below) of Company without prior, written permission of Company in each instance.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Confidential Information means all non-public information of Company, including, without limitation, these Terms and Conditions, sales numbers or financial information, software passwords, customer lists, ideas, stories, curriculum, materials, presentation content, business strategies, plans or processes, marketing copy, customer financial or personal information, personal information of the Company staff, technical data, documentation or other similar information that is proprietary to and confidential information of Company.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">This Agreement imposes no obligation of confidentiality on Affiliate with regard to any portion of the Company’s Confidential Information (a) that is generally available to the public at the time of disclosure; (b) that becomes generally available to the public after the Promotion without any breach of this Agreement by Affiliate; or (c) that Affiliate can demonstrate by written records he or she had independently developed without any access to or usage of the Confidential Information.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">In the event Affiliate becomes or may become legally compelled to disclose any Confidential Information (whether by deposition, interrogatory, request for documents, subpoena, civil investigative demand or other process or otherwise), Affiliate shall provide to Company prompt prior written notice of such requirement so that Company may seek a protective order or other appropriate remedy and/or waive compliance with the terms of this Section. In the event that such protective order or other remedy is not obtained, or that Company waives compliance with the provisions hereof, Affiliate shall furnish only that portion of the Confidential Information which he or she is advised by counsel is legally required to be disclosed, and shall use his or her best efforts to ensure that confidential treatment shall be afforded such disclosed portion of the Confidential Information. In general, Affiliate may not disclose any financial, personal, or business information about Company or its staff (including Founder Nicki Sciberras) without permission from Company. Such disclosure is grounds for legal action, equitable relief, and termination of this Agreement.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"marketing-practices\">Acceptable And Non-Acceptable Marketing Practices\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Affiliate shall make available to all end-users an appropriate Privacy Policy that complies with all application of state, and local laws and requirements. The Privacy Policy shall be made available to users prior to the collection of any personally identifiable information, and shall clearly disclose all information collection, use, and sharing practices, including any collection of information in connection with the Affiliate Program.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Affiliate shall not promote Company’s products: (1) in conjunction with any illegal activity, (2) on any illegal website, (3) in a manner that a reasonable person would consider threatening, harmful, defamatory, obscene, sexually explicit, harassing, or promoting violence; (4) in a manner that promotes discrimination, (5) in any manner the Company expressly deems as objectionable, or (6) in a manner that infringes upon the intellectual property or related rights held by any third party (7) inside of any The Digital Exchange’s managed Facebook groups.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Affiliate shall not make any claims, guarantees, representations, or warranties about the Company’s products, except as expressly authorized herein or in the Company’s Website Terms of Use.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"terms\">Term and Termination\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">This Agreement shall commence upon the date the Company notifies you that you have been accepted into the Affiliate Program and shall continue thereafter until terminated as provided herein.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">The Company may terminate this Agreement in full or in part at any time and for any reason it deems appropriate with or without prior notice to you. In the event of termination, the Company will disable any tracking URLs, links, cookies, pixels, and similar mechanisms for use with the Affiliate Program. You may terminate this Agreement at any time upon notification to the Company in writing via email.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Upon termination, you shall immediately cease all use of the Promotional Materials and all of the Company’s intellectual property and will delete all copies of such materials in your possession. Nothing contained in this Agreement shall be construed as creating any agency, partnership, joint venture or other form of joint enterprise, employment or fiduciary relationship between the parties, and neither party shall have authority to contract for or bind the other party in any manner whatsoever.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"disclaimers\">Disclaimers\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">The Affiliate Program, any Promotional Material, and the products and services provided on connection therewith, are provided to Affiliate “as is.”\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Except as expressly set forth in this Agreement, the Company expressly disclaims to the maximum extent allowed by law, all warranties, express implied, or statutory, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and any warranties arising out of course of dealing, usage, or trade.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">The Company does not warrant that the Affiliate Program or Promotional Materials will meet Affiliate’s specific requirements or that the materials are error free or uninterrupted.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">The Company expressly disclaims any liability for any act or omission of any third-party provider not under the control of the Company, and their products and services.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Affiliate expressly agrees and understands that the Company has not made any guarantee that Affiliate will earn any specific amount of commissions and attests that no such representations or claims have been made.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"limitations-of-liability\">Limitation of Liability\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">You agree to absolve and do hereby absolve the Company of any and all liability or loss that you or any person or entity associated with you may suffer or incur as a result of participation in the Affiliate Program and/or any information and resources contained in the Affiliate Program. You agree that the Company shall not be liable to you for any type of damages, including direct, indirect, special, incidental, equitable, or consequential loss or damages for participation in the Affiliate Program.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">To the maximum extent permitted by applicable law, in no event shall the Company be liable for any direct, indirect, punitive, incidental, special, consequential damages or any damages whatsoever including, without limitation, damages for loss of use, data, or profits arising out of or in any way connected with the use or performance of the Affiliate Program, with the delay or inability to use the Affiliate Program or related service, the provision of or failure to provide services, or for any information, software, products, services, and related graphics obtained through the Affiliate Program, or otherwise arising out of the use of the Affiliate Program, whether based on contract, tort, negligence, strict liability, or otherwise, even if the Company or any of its suppliers has been advised of the possibility of damages. Because some States or other jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitations may not apply to You. If you are dissatisfied with the Affiliate Program or any portion of it, your sole and exclusive remedy is to terminate your participation in the Affiliate Program.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"arbitration\">Arbitration\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">You hereby expressly waive any and all claims you may have, now or in the future, arising out of or relating to the Affiliate Program.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">To the extent that you attempt to assert any such claim, you hereby expressly agree to present such claim only through binding arbitration to occur in Bratislava, Slovakia. You further agree to and do hereby waive any right to class arbitration and agree, instead, to conduct an arbitration related solely to any individual claims you and/or any entity related to you asserts against the Company. To the fullest extent permissible by law, you further agree that you shall be responsible for all costs associated with initiating the arbitration and for the administration of the arbitration.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"dispute-resolution\">Dispute Resolution\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">You hereby expressly waive any and all claims you may have, now or in the future, arising out of or relating to the Affiliate Program.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">If there is any dispute, or if you are unhappy with the Services provided, please contact Us so that we can discuss. Both parties will use their best efforts to resolve any dispute under, or in connection with the Agreement, through good faith negotiations with the other party.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">If the dispute cannot be resolved by mutual agreement, the Parties agree to engage in mediation and shall refer the dispute to an independent mediator as agreed and will use their best endeavours to resolve the dispute in mediation. All costs associated with the dispute (including legal, mediation or arbitration fees), will be at the expense of the Affiliate.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">To the extent that you attempt to assert any such claim, you hereby expressly agree to present such claim only in the state or federal courts that are geographically nearest to Bratislava, Slovakia.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"choice-of-law\">Choice of Law\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">This Agreement shall be governed by and interpreted under the laws of the EU, without regard to any conflict of laws provisions.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"indemnities\">Indemnities\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, and third parties for any losses, costs, liabilities, and expenses (including reasonable lawyers’ fees) relating to or arising out of: (a) Affiliate’s breach of any provision of this Agreement, including the representations and warranties, (b) any misuse, fraud, or deceptive conduct by Affiliate or any of its agents in connection with the Affiliate Program, and (c) any claims related to any promotional media created by Affiliate (excluding claims related to any Promotional Material provided by the Company).\u003C/p>\n\n\u003Cp class=\"affiliate-p\">The Company hereby agrees to indemnify, defend, and hold harmless Affiliate, its officers, directors, employees, agents, and third parties for any losses, costs, liabilities, and expenses (including reasonable lawyers’ fees) relating to or arising out of an allegation that the Company does not have the right to provide the Promotional Material or that the Promotional Materials violate a third-party’s rights.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"modification\">Modification\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">The Company may modify this Agreement at any time by providing Affiliate with notification of the proposed changes by email at Affiliate’s email address, but any such changes will not alter the Company’s obligation to Affiliate with respect to any previously-earned commissions. waiver thereof, nor shall any single or partial exercise of any right, remedy, power, or privilege hereunder preclude any other or further exercise thereof or the exercise of any other right, remedy, hostilities (whether war is declared or not), terrorist threats or acts, riot, or other civil unrest, national emergency, revolution, insurrection, epidemic, lock-outs, strikes or other labor disputes (whether or not relating to either party's workforce), or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials, materials or siguiente Acuerdo de Afiliados (“Acuerdo”) es celebrado entre Omara Jewelry (Omara S.R.O) (“Compañía”, “nosotros” o “nos”) y la parte que envíe una solicitud para convertirse en afiliado de la Compañía y/o que tenga una solicitud aceptada (“Afiliado” o “Tú”).\u003C/p>\n\n\u003Cp class=\"affiliate-p\">La Compañía ha establecido un programa para que los afiliados promuevan sus productos a cambio de un porcentaje de los ingresos de cualquier venta (el “Programa de Afiliados”). A menos que se modifique mediante un acuerdo separado que rija la promoción de un producto en particular, los términos de este Acuerdo se aplican a tu participación en cualquier Programa de Afiliados de la Compañía.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Al enviar una solicitud para participar en el Programa de Afiliados y/o al participar de otro modo en el Programa de Afiliados, estás aceptando expresamente los términos y condiciones establecidos en este Acuerdo y en cualquier acuerdo que pueda aplicarse a productos individuales de Omara Jewelry.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"application-and-acceptance\">Solicitud y Aceptación\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Para participar en el Programa de Afiliados, debes contactarnos a través de los canales de contacto listados en el sitio web de Omara Jewelry.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Para participar en el Programa de Afiliados, debes proporcionar a la Compañía tu identidad verdadera y otra información de contacto, así como información empresarial y bancaria según se solicite. No debes usar ningún alias, seudónimo u otro medio para enmascarar tu identidad o los detalles de tu negocio.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">La Compañía confiará en la información proporcionada en tu Solicitud, y cualquier información falsa será motivo para rechazar tu Solicitud o para terminar tu estatus como Afiliado sin compensación si se descubre después de que seas aprobado.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Al ser aceptado en el Programa de Afiliados, la Compañía se pondrá en contacto contigo notificándote tu aceptación. El contacto incluirá tus credenciales de Afiliado, así como detalles sobre cómo obtener tus enlaces para compartir, además de otra información importante.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"commissions\">Comisiones\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">La Compañía pagará al Afiliado una tarifa (una “Comisión”), por cada cliente adquirido como resultado de que un cliente sea referido a la Compañía mediante los enlaces de seguimiento únicos asignados al Afiliado (“Enlaces de Afiliado”). El seguimiento y la atribución de ventas a los Afiliados basados en sus enlaces de seguimiento se realiza automáticamente mediante el sistema de automatización de marketing de la Compañía. En consecuencia, el Afiliado no tendrá derecho a ninguna Comisión por una venta que sea reembolsada, que tenga un contracargo o por la cual la Compañía no reciba finalmente los ingresos de la venta debido al abuso de tarjetas de crédito o fraude.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">La Compañía pagará las Comisiones antes del 10 del mes siguiente. Por ejemplo, la comisión ganada en marzo se pagará antes del día 10 de abril. Las comisiones solo se realizarán para clientes que no fueran conocidos por la Compañía antes de la promoción.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"taxes\">Pasarela de Pago e Impuestos\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Es responsabilidad exclusiva del Afiliado proporcionar la información requerida con su método de pago donde esté dispuesto a recibir la comisión de manera oportuna. No se realizarán pagos al Afiliado hasta que dicha información sea proporcionada.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">El Afiliado será responsable de proporcionar su información empresarial y detalles bancarios necesarios para facilitar el uso del método de pago.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"warranties\">Representaciones y Garantías\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">La Compañía declara y garantiza:\u003C/p>\n\n\u003Cul>\n\t\u003Cli>Que los productos/servicios ofrecidos en conjunto con el programa de Afiliados son legales dentro de la jurisdicción de la Compañía;\u003C/li>\n\t\u003Cli>Que tiene la intención de estar sujeta a las promesas mutuas, términos y condiciones de este Acuerdo;\u003C/li>\n\t\u003Cli>Que no violará intencional o conscientemente ninguna ley, regulación o regla aplicable a sus operaciones comerciales.\u003C/li>\n\t\u003Cli>Que tiene los derechos de propiedad intelectual necesarios y otros derechos para ofrecer los productos disponibles para la promoción bajo el Programa de Afiliados.\u003C/li>\n\u003C/ul>\n\n\u003Cp class=\"affiliate-p\">El Afiliado declara y garantiza:\u003C/p>\n\n\u003Cul>\n\t\u003Cli>Que el Afiliado ha leído este Acuerdo, entiende sus términos y condiciones, y acepta estar obligado por este Acuerdo;\u003C/li>\n\t\u003Cli>Que este Acuerdo constituye el acuerdo válido y vinculante del Afiliado y fue ejecutado por una persona con autoridad para vincular al Afiliado;\u003C/li>\n\t\u003Cli>Que las respuestas del Afiliado a las preguntas en la Solicitud fueron verídicas y precisas según el mejor conocimiento del Afiliado;\u003C/li>\n\t\u003Cli>Que el Afiliado cumplirá con los requisitos de marketing por correo electrónico, incluidos, entre otros, CAN-SPAM, GDPR y CA-SL.\u003C/li>\n\t\u003Cli>Que el Afiliado no hará uso del nombre, marca registrada o marca de servicio de la Compañía de ninguna manera que no esté expresamente permitida bajo el Programa de Afiliados;\u003C/li>\n\t\u003Cli>Que el Afiliado no se involucrará en ningún comportamiento que viole los términos de este Acuerdo o que constituya un intento de aumentar fraudulentamente o de manera engañosa las ganancias del Afiliado bajo este Programa de Afiliados.\u003C/li>\n\u003C/ul>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"intellectual-property\">Materiales Promocionales, Licencia Limitada y Propiedad Intelectual\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">De vez en cuando, la Compañía puede poner a disposición del Afiliado materiales para utilizar en la promoción de los productos de la Compañía (“Materiales Promocionales”). Los Materiales Promocionales pueden incluir los logotipos de la Compañía, imágenes de productos que forman parte del Programa de Afiliados, enlaces de botones, enlaces de texto y otros materiales gráficos y textuales para usar en los esfuerzos promocionales del Afiliado.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Al ser aceptado en el Programa de Afiliados, la Compañía concede al Afiliado una licencia revocable, no exclusiva, mundial, libre de regalías para usar los Materiales Promocionales durante el término de este Acuerdo. El Afiliado podrá usar los Materiales Promocionales en su sitio web, en correos electrónicos y en otras actividades promocionales.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">El Afiliado podrá utilizar dichos Materiales Promocionales únicamente con el propósito de promover los productos de la Compañía y/o para enlazar al sitio web de la Compañía. El Afiliado no podrá hacer otro uso de los Materiales Promocionales y no podrá declarar ni implicar que la Compañía ha respaldado al Afiliado.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">El Afiliado acepta no alterar, añadir, restar o modificar de ninguna otra forma cualquiera de los Materiales Promocionales proporcionados por la Compañía sin el consentimiento expreso por escrito de la Compañía. Además, el Afiliado no podrá realizar obras derivadas utilizando los Materiales Promocionales.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"confidentiality\">Confidencialidad\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">El Afiliado no deberá, directa ni indirectamente, utilizar para su propio beneficio (más allá de cumplir con sus obligaciones en virtud del presente acuerdo) ni divulgar a ningún tercero ninguna Información Confidencial (como se define más adelante) de la Compañía sin el permiso previo por escrito de la Compañía en cada caso.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">La Información Confidencial significa toda la información no pública de la Compañía, incluyendo, sin limitación, estos Términos y Condiciones, números de ventas o información financiera, contraseñas de software, listas de clientes, ideas, historias, currículos, materiales, contenido de presentaciones, estrategias de negocios, planes o procesos, copias de marketing, información financiera o personal de los clientes, información personal del personal de la Compañía, datos técnicos, documentación u otra información similar que sea propiedad y confidencial de la Compañía.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Este Acuerdo no impone ninguna obligación de confidencialidad sobre el Afiliado con respecto a cualquier porción de la Información Confidencial de la Compañía (a) que esté generalmente disponible al público en el momento de la divulgación; (b) que se haga generalmente disponible al público después de la Promoción sin ninguna violación de este Acuerdo por parte del Afiliado; o (c) que el Afiliado pueda demostrar mediante registros escritos que desarrolló independientemente sin tener acceso o hacer uso de la Información Confidencial.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">En caso de que el Afiliado se vea o pueda verse legalmente obligado a divulgar alguna Información Confidencial (ya sea por deposición, interrogatorio, solicitud de documentos, citación, demanda de investigación civil u otro proceso o de otro modo), el Afiliado deberá proporcionar a la Compañía un aviso previo por escrito de dicho requerimiento para que la Compañía pueda solicitar una orden de protección u otro remedio apropiado y/o renunciar al cumplimiento de los términos de esta Sección. En caso de que no se obtenga dicha orden de protección u otro remedio, o que la Compañía renuncie al cumplimiento de las disposiciones del presente, el Afiliado solo deberá proporcionar la porción de la Información Confidencial que se le indique por parte de su abogado que legalmente debe ser divulgada, y deberá hacer todo lo posible para asegurar que se le otorgue tratamiento confidencial a esa porción de la Información Confidencial divulgada. En general, el Afiliado no podrá divulgar ninguna información financiera, personal o de negocios sobre la Compañía o su personal (incluido el fundador Nicki Sciberras) sin el permiso de la Compañía. Tal divulgación será motivo de acciones legales, alivio equitativo y terminación de este Acuerdo.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"marketing-practices\">Prácticas de Marketing Aceptables y No Aceptables\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">El Afiliado deberá poner a disposición de todos los usuarios finales una Política de Privacidad adecuada que cumpla con todas las leyes y requisitos estatales y locales aplicables. La Política de Privacidad deberá estar disponible para los usuarios antes de la recolección de cualquier información personal identificable, y deberá divulgar claramente todas las prácticas de recopilación, uso y compartición de información, incluyendo cualquier recopilación de información en relación con el Programa de Afiliados.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">El Afiliado no deberá promocionar los productos de la Compañía: (1) en conjunto con cualquier actividad ilegal, (2) en cualquier sitio web ilegal, (3) de una manera que una persona razonable consideraría amenazante, dañina, difamatoria, obscena, explícita sexualmente, acosadora o que promueva la violencia; (4) de una manera que promueva la discriminación, (5) de cualquier manera que la Compañía considere expresamente objetable, o (6) de una manera que infrinja la propiedad intelectual o los derechos relacionados de cualquier tercero (7) dentro de los grupos gestionados de Facebook de The Digital Exchange.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">El Afiliado no deberá hacer ningún tipo de reclamo, garantía, representación ni promesas sobre los productos de la Compañía, salvo que estén expresamente autorizados en este documento o en los Términos de Uso del Sitio Web de la Compañía.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"terms\">Duración y Terminación\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Este Acuerdo comenzará en la fecha en que la Compañía le notifique que ha sido aceptado en el Programa de Afiliados y continuará hasta que sea terminado conforme a lo dispuesto en el presente.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">La Compañía podrá rescindir este Acuerdo total o parcialmente en cualquier momento y por cualquier motivo que considere apropiado, con o sin previo aviso. En caso de terminación, la Compañía desactivará cualquier URL de seguimiento, enlaces, cookies, píxeles y mecanismos similares utilizados con el Programa de Afiliados. El Afiliado podrá rescindir este Acuerdo en cualquier momento mediante notificación por escrito a la Compañía por correo electrónico.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Tras la terminación, el Afiliado deberá cesar inmediatamente el uso de los Materiales Promocionales y de toda la propiedad intelectual de la Compañía y deberá eliminar todas las copias de dichos materiales en su posesión. Además, deberá cesar inmediatamente de presentarse como participante del Programa de Afiliados.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">El Afiliado tendrá derecho a todas las Comisiones válidamente acumuladas que se hayan ganado antes de la terminación de este Acuerdo.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"relationships\">Naturaleza de la Relación\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">La relación entre las partes es la de contratistas independientes. Nada de lo contenido en este Acuerdo será interpretado como la creación de una agencia, sociedad, empresa conjunta o cualquier otra forma de empresa conjunta, relación laboral o fiduciaria entre las partes, y ninguna de las partes tendrá autoridad para contratar en nombre de la otra o vincularla de ninguna manera.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"disclaimers\">Exclusión de Responsabilidades\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">El Programa de Afiliados, cualquier Material Promocional y los productos y servicios proporcionados en relación con ello, se ofrecen al Afiliado \"tal como están\".\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Excepto lo expresamente establecido en este Acuerdo, la Compañía rechaza expresamente, en la medida máxima permitida por la ley, todas las garantías, expresas, implícitas o legales, incluyendo pero no limitado a las garantías implícitas de comerciabilidad, idoneidad para un propósito particular y no infracción, y cualquier garantía derivada del curso de la negociación, uso o comercio.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">La Compañía no garantiza que el Programa de Afiliados o los Materiales Promocionales satisfagan los requisitos específicos del Afiliado ni que los materiales estén libres de errores o interrupciones.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">La Compañía rechaza expresamente cualquier responsabilidad por cualquier acto u omisión de un proveedor tercero que no esté bajo el control de la Compañía, así como sus productos y servicios.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">El Afiliado acepta expresamente y entiende que la Compañía no ha hecho ninguna garantía de que el Afiliado ganará una cantidad específica de comisiones y declara que no se han hecho tales representaciones ni reclamos.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"limitations-of-liability\">Limitación de Responsabilidad\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Usted acepta eximir y por la presente exonera a la Compañía de cualquier y toda responsabilidad o pérdida que usted o cualquier persona o entidad asociada con usted pueda sufrir o incurrir como resultado de su participación en el Programa de Afiliados y/o cualquier información y recursos contenidos en el Programa de Afiliados. Usted acepta que la Compañía no será responsable ante usted por ningún tipo de daño, incluyendo daños directos, indirectos, especiales, incidentales, equitativos o consecuentes por la participación en el Programa de Afiliados.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">En la máxima medida permitida por la ley aplicable, en ningún caso la Compañía será responsable de ningún daño directo, indirecto, punitivo, incidental, especial, consecuente o cualquier otro tipo de daño, incluyendo, sin limitación, daños por pérdida de uso, datos o ganancias derivados o de alguna manera relacionados con el uso o el desempeño del Programa de Afiliados, con el retraso o la incapacidad de usar el Programa de Afiliados o servicio relacionado, la provisión de o el fallo en la provisión de servicios, o por cualquier información, software, productos, servicios y gráficos relacionados obtenidos a través del Programa de Afiliados, o que surjan del uso del Programa de Afiliados, ya sea basado en contrato, agravio, negligencia, responsabilidad estricta o de otro modo, incluso si la Compañía o cualquiera de sus proveedores ha sido advertido de la posibilidad de daños. Debido a que algunos Estados u otras jurisdicciones no permiten la exclusión o limitación de responsabilidad por daños consecuentes o incidentales, las limitaciones anteriores pueden no aplicarse a usted. Si no está satisfecho con el Programa de Afiliados o con cualquier parte de él, su único y exclusivo remedio es terminar su participación en el Programa de Afiliados.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"arbitration\">Arbitraje\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Por la presente, usted renuncia expresamente a todas las reclamaciones que pueda tener, ahora o en el futuro, que surjan o estén relacionadas con el Programa de Afiliados.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">En la medida en que intente presentar alguna de estas reclamaciones, por la presente acepta expresamente presentar dicha reclamación únicamente a través de arbitraje vinculante que se llevará a cabo en Bratislava, Eslovaquia. Además, acepta y renuncia expresamente a cualquier derecho de arbitraje colectivo y acepta, en su lugar, realizar un arbitraje relacionado únicamente con cualquier reclamación individual que usted y/o cualquier entidad relacionada con usted presente contra la Compañía. En la máxima medida permitida por la ley, también acepta que será responsable de todos los costos asociados con la iniciación del arbitraje y con la administración del arbitraje.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"dispute-resolution\">Resolución de Disputas\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Por la presente, usted renuncia expresamente a todas las reclamaciones que pueda tener, ahora o en el futuro, que surjan o estén relacionadas con el Programa de Afiliados.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Si hay alguna disputa, o si no está satisfecho con los servicios proporcionados, por favor contáctenos para que podamos discutir. Ambas partes harán todo lo posible para resolver cualquier disputa bajo o en relación con el Acuerdo, mediante negociaciones de buena fe con la otra parte.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Si la disputa no puede resolverse por acuerdo mutuo, las partes acuerdan participar en mediación y remitir la disputa a un mediador independiente según lo acordado, y harán todo lo posible para resolver la disputa en la mediación. Todos los costos asociados con la disputa (incluidos honorarios legales, de mediación o arbitraje) correrán a cargo del Afiliado.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">En la medida en que intente presentar alguna reclamación, por la presente acepta expresamente presentar dicha reclamación únicamente en los tribunales estatales o federales más cercanos geográficamente a Bratislava, Eslovaquia.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"choice-of-law\">Elección de la Ley\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Este Acuerdo se regirá e interpretará de acuerdo con las leyes de la UE, sin tener en cuenta las disposiciones sobre conflicto de leyes.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"indemnities\">Indemnización\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Usted acepta indemnizar, defender y mantener indemne a la Compañía, sus directores, empleados, agentes y terceros de cualquier pérdida, costo, responsabilidad y gasto (incluidos los honorarios razonables de abogados) relacionados con o que surjan de: (a) el incumplimiento por parte del Afiliado de cualquier disposición de este Acuerdo, incluidas las representaciones y garantías, (b) cualquier mal uso, fraude o conducta engañosa por parte del Afiliado o cualquiera de sus agentes en relación con el Programa de Afiliados, y (c) cualquier reclamación relacionada con cualquier medio promocional creado por el Afiliado (excluyendo las reclamaciones relacionadas con cualquier Material Promocional proporcionado por la Compañía).\u003C/p>\n\n\u003Cp class=\"affiliate-p\">La Compañía acepta por la presente indemnizar, defender y mantener indemne al Afiliado, sus directores, empleados, agentes y terceros de cualquier pérdida, costo, responsabilidad y gasto (incluidos los honorarios razonables de abogados) relacionados con o que surjan de una alegación de que la Compañía no tiene el derecho de proporcionar el Material Promocional o de que los Materiales Promocionales violan los derechos de un tercero.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"modification\">Modificación\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">La Compañía podrá modificar este Acuerdo en cualquier momento proporcionando al Afiliado notificación de los cambios propuestos por correo electrónico a la dirección de correo electrónico del Afiliado, pero dichos cambios no alterarán la obligación de la Compañía con respecto a las comisiones previamente ganadas. Dichos cambios entrarán en vigor diez (10) días hábiles después de dicha notificación.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Si las modificaciones propuestas son inaceptables para usted, puede terminar este acuerdo conforme a la cláusula de Terminación mencionada anteriormente. La participación continua en el programa constituirá su aceptación y acuerdo con la modificación de este Acuerdo.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"entire-agreement\">Acuerdo Completo\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Este Acuerdo constituye el acuerdo completo entre usted y la Compañía con respecto al Programa de Afiliados, y reemplaza todas las comunicaciones y propuestas previas o contemporáneas, ya sean electrónicas, orales o escritas, entre usted y la Compañía con respecto al Programa de Afiliados. Una versión impresa de este Acuerdo y de cualquier notificación dada en formato electrónico será admisible en procedimientos judiciales o administrativos basados o relacionados con este acuerdo en la misma medida y sujeta a las mismas condiciones que otros documentos y registros comerciales generados y mantenidos originalmente en formato impreso.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"severability\">Divisibilidad\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Si algún término o disposición de este Acuerdo es considerado por un tribunal de jurisdicción competente como inválido, ilegal o inaplicable en cualquier jurisdicción, tal invalidez, ilegalidad o inaplicabilidad no afectará a ningún otro término o disposición de este Acuerdo ni invalidará ni hará inaplicable dicho término o disposición en ninguna otra jurisdicción.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"waiver\">Renuncia\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Ninguna renuncia por parte de cualquiera de las partes de cualquiera de las disposiciones de este Acuerdo será efectiva a menos que se establezca explícitamente por escrito y sea firmada por la parte que renuncia. Excepto cuando se disponga lo contrario en este Acuerdo, el no ejercicio, o el retraso en el ejercicio, de cualquier derecho, recurso, poder o privilegio derivado de este Acuerdo no se considerará ni interpretará como una renuncia a los mismos, ni el ejercicio único o parcial de cualquier derecho, recurso, poder o privilegio bajo este Acuerdo impedirá cualquier otro o ulterior ejercicio de los mismos o el ejercicio de cualquier otro derecho, recurso, poder o privilegio.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"force-majeure\">Fuerza Mayor\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">La Compañía no será responsable ante Usted, ni se considerará que ha incumplido o violado este Acuerdo, por cualquier falla o demora en cumplir o ejecutar cualquier término de este Acuerdo cuando y en la medida en que tal falla o demora sea causada o resulte de actos o circunstancias fuera del control razonable de la Compañía, incluyendo, sin limitación, actos de Dios, inundación, incendio, terremoto, explosión, acciones gubernamentales, guerra, invasión o hostilidades (ya sea que se haya declarado guerra o no), amenazas o actos terroristas, disturbios o trastornos civiles, emergencia nacional, revolución, insurrección, epidemia, cierres patronales, huelgas u otros conflictos laborales (ya sea que estén relacionados o no con la fuerza laboral de alguna de las partes), o restricciones o demoras que afecten a los transportistas o la incapacidad o demora para obtener suministros de materiales adecuados o adecuados, materiales o fallos en las
